Thank you for choosing Galexia Creative Agency Ltd! Please read these Terms of Service carefully. By using this website or any of Galexia Creative Agency Ltd’s services you agree to these Terms of Service. If you do not agree to these Terms of Service, do not visit this website or use Galexia Creative Agency Ltd’s services.

Introduction

Galexia Creative Agency Ltd (hereinafter, “we,” “us,” or “our“) provide website design, development, and hosting services, including support for these services. We also have a website, other related applications, services, and personnel (collectively, the “Services“). The websites created and managed by our Clients through our Services are collectively referred to herein as “Client Websites“. Our Clients are collectively referred to herein as “you“, and the “Client“. The third-party visitors of Client Websites are referred to herein as “End Users“.

These Terms of Service (“Terms” or “Agreement“) form a binding legal agreement between Galexia Creative Agency Ltd and any person or organization who purchases, accesses, or uses the Services (“Client“, “you“, or “your“). You represent, warrant, and agree (a) that you have the full power and authority to enter into and perform under these Terms, or (b) if you are using our Services on behalf of an organization, entity, or group that you are authorized to accept these Terms on such organization’s, entity’s, or group’s behalf.

Updates to the Terms. We reserve the right to make changes to these Terms at any time in our sole discretion. If we make changes to these Terms, we will provide notice of such changes by revising the date at the top of these Terms. Your continued use of our Services following notification of changes will constitute your acceptance of such changes. Please periodically review these Terms and check for any updates.

Client Submissions

Separate and apart from Client Content, we welcome questions, comments, suggestions, and ideas about Galexia Creative Agency Ltd and our Services (“Submissions“). If you provide a Submission, whether by email or otherwise, you agree that it is non-confidential (unless we state otherwise in writing) and shall become the sole property of Galexia Creative Agency Ltd.

Galexia Creative Agency Ltd shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of Submissions for any purpose, commercial or otherwise. You agree that Galexia Creative Agency Ltd is not obligated to provide acknowledgment or compensation to you in exchange for Submissions.

We understand that social media is a great place to voice opinions, however, it is often used as a platform to berate and abuse companies and to extort them with negative PR. This is often to push them into giving people their own way, whether that’s jumping a queue or getting products or services at a discount.

Abusing us on social media is something we have a zero tolerance against. We wouldn’t dream of abusing you over social media, so we don’t expect our customers to abuse us. We understand that people may use it to voice dissatifaction however we expect that customers remain civil and act with civility at the very least, as we will.

Abusive behaviour over social media may result in termination of the Services. If appropriate, we may also report offensive comments or behavior to the relevant authorities.

Accuracy of materials

The materials appearing on Galexia Creative Agency Ltd’s website could include technical, typographical, or photographic errors. Galexia Creative Agency Ltd does not warrant that any of the materials on its website are accurate, complete or current. Galexia Creative Agency Ltd may make changes to the materials contained on its website at any time without notice. However Galexia Creative Agency Ltd does not make any commitment to update the materials.

You must use the Websites and Services in accordance with our AUP, which is incorporated by reference. Accordingly, any use of the Websites and Services in violation of the AUP shall constitute a breach of this TOS.

You are responsible for notifying your employees, agents, and others related to your use of the Websites and Services of the provisions of this TOS, including where the terms of the TOS are binding on them.

You shall not (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Websites or Services (including without limitation any application), except to the limited extent applicable laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Websites or Services; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations. To the extent any portions of the Websites or Services are subject to Open Source Licenses, such Open Source Licenses apply regardless of this section.

We reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) respond to any applicable law, regulation, legal process or governmental request; (ii) enforce this TOS, including investigation of potential violations hereof; (iii) detect, prevent, or otherwise address fraud, security or technical issues; (iv) respond to user support requests; or (v) protect the rights, property or safety of us, our users and the public. You shall utilise proper security protocols, such as setting strong passwords and access control mechanisms, safeguarding access to all logins and passwords, and verifying the trustworthiness of persons who are entrusted with Website access information. You are solely responsible for any unauthorized access to your Website, and must notify Galexia Creative Agency Ltd immediately of any such unauthorized access upon becoming aware of it.

You shall notify Galexia Creative Agency Ltd if and when you learn of any security incidents or breaches affecting the Websites or Services, including unauthorized access to your Website or credentials, and shall aid in any investigation or legal action that is taken by authorities and/or Galexia Creative Agency Ltd to investigate and cure the security incident or breach to the extent caused by your use of the Websites and Services. Our Data Processing Agreement includes more information about security incidents as they pertain to certain personal data.

Third-Party Services

The Services may display or permit linking or other access to or use of third-party content, promotions, websites, apps, services, and resources (collectively “Third-Party Services“) that are not under Galexia Creative Agency Ltd’s control. Third-Party Services are available only as a convenience to you, and we are not responsible for the products, services, or other content that are available from Third-Party Services. You acknowledge that any Third-Party Services that you use in connection with the Services are not part of the Services and are not controlled by Galexia Creative Agency Ltd, and you take sole responsibility and assume all risk arising from your interaction with or use of any Third-Party Services.

You also acknowledge that these Terms and the Galexia Creative Agency Ltd Privacy Policy do not apply to any Third-Party Services. You are responsible for reading and understanding the terms and conditions and privacy policy that applies to your use of any Third-Party Services. Reference to any Third-Party Services by Galexia Creative Agency Ltd does not necessarily constitute or imply endorsement, sponsorship, or recommendation thereof by Galexia Creative Agency Ltd.

Galexia Creative Agency Ltd has not reviewed all of the third-party sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Galexia Creative Agency Ltd of the site. Use of any such linked website is at the user’s own risk.

Our Services

We’ll carry out our work in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience. That said, we can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.

Both Galexia Creative Agency and you, the Client, expressly acknowledge that these Terms of Service do not create an exclusive relationship between the Parties. You are free to engage others to perform services of the same or similar nature to those provided by us. We are entitled to offer and provide design services to others, solicit other clients and otherwise advertise the services offered by us.

What do both parties agree to?

The Client: You have the authority to enter into this agreement on behalf of yourself, your company or your organisation. You’ll give us the assets and information we tell you we need to complete the project. You’ll do this when we ask and provide it in the formats we ask for. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule as agreed upon.

Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to meet every deadline that’s set and on top of that, we’ll maintain the confidentiality of everything you give us.

Design

We create designs that adapt to the capabilities of many devices and screen sizes. We create them iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We may use visuals to indicate a creative direction (colour, texture and typography).

You’ll have plenty of opportunities to review our work and provide feedback. We’ll share a development site with you and we’ll have regular, contact by either phone, email, or WhatsApp.

If—at any stage—you change your mind about what you want delivered or aren’t happy with the direction our work is taking, you’ll pay us in full for the time we’ve spent working until that point and may terminate the Services.

If you have already engaged the services of a graphic/web designer who has produced mock-ups of the design of your website, we will work from these and endeavour to produce a website resembling them as closely as possible. Note that it may not be possible to produce pixel-perfect interpretations of them across all browsers and under all circumstances due to technical limitations beyond our control.

Text content

Unless agreed separately, we’re not responsible for creating the text or images for your website. We provide professional copywriting and editing services, so if you’d like us to create new content for you, we’ll provide a separate estimate.

As part of this agreement, we can input text onto a site and set-up the basic structure of pages, categories, tags, and other content. However, we do not proofread this content.

Copywriting

We will try to ensure all facts and statements in the piece are true and that it does not infringe upon any copyright or other rights of a third party. However, we are not a lawyers, and it is your responsibility to submit copy for legal review if required or desired.

We will make every effort to check the piece for correct grammar and spelling before submitting it to you. However, it will be your responsibility to check the piece, and provide us with feedback regarding any edits and corrections.

The copyright for all work remains with Galexia Creative Agency Ltd until you have paid. Once payment is received, all copyright will be assigned over to you.

Galexia Creative Agency Ltd aim for full satisfaction with the copy produced before you use it, but cannot guarantee specific results from its use.

Upon publication, Galexia Creative Agency Ltd is absolved of responsibility if errors appear, regardless of whether they were in the draft we supplied you with.

Graphics and photographs

You should supply graphic files in an editable, vector digital format, an SVG is a good filetype. You should supply photographs in a high resolution digital format, a JPG or PNG is a good filetype. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs and graphics for you, we can provide a separate estimate.

Development

We create fast, secure, and scalable sites. We use a variety of web languages, frameworks, and services. We retain the right to choose the method of implementation at our discretion unless an implementation has already been agreed upon in prior communication.

Browser testing

Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), Mozilla (Firefox) and Opera. We won’t test in other older browsers, such as Internet Explorer, unless agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.

Mobile browser testing

Testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in:

iOS: Safari and Google Chrome

Android: Google Chrome

We won’t test in Opera Mini/Mobile, specific Android devices, or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate.

Technical support

If you choose to have your website hosted with us you will abide by our Acceptable Use Policy.

If you choose to have your website hosted elsewhere we are happy to provide you with your website files for installation.

Training

If you have specified a website implementation, such as Vue.js, Squarespace, Wix, etc, it is your responsibility to be trained on how to use the implementation. We cannot offer any training facilities.

When we choose to offer, or you have chosen, a WordPress site we offer one video call session showing you around your new site and where you can access certain features. After this session, it is your responsibility to maintain and update your site unless otherwise agreed. We are more than happy to quote for any updates to your site that you would like us to make. Furthermore, we are always on hand to answer quick questions or point you in the right direction.

Search engine optimisation (SEO)

We can’t guarantee improvements to your website’s search engine ranking, but the pages that we develop are accessible to and optimised for search engines. Content is key in the search engine world and we provide professional copywriting and editing services for which we can provide a separate estimate.

Marketing

The effectiveness of marketing can vary dramatically so we never promise any specific outcomes as a result of our marketing endeavours.

We will put in place suitable tracking systems in order to track the progress of the marketing project and provide you with regular updates for you to review the success of the project.

You are solely responsible for the content on your website, social media, or any other online platform or physical form. Any marketing material that we produce is in its entirety your responsibility.

WordPress Hosting

We provide hosting services for WordPress sites subject to our Acceptable Use Policy and these Terms.

WordPress hosting is for one site only.
Your domain must be managed by us.
Certain plugins must remain installed and active in order to use our hosting services. These plugins must not be tampered with in any way.

We take reasonable steps to ensure the security of your site. Please listen to our advice to ensure that your site remains protected.

Whilst Galexia Creative Agency Ltd may host your site, if you have not purchased a maintenance plan, we cannot guarantee that your site will remain fast and secure. If you have not purchased a maintenance plan, it is your responsibility to maintain the site including, but not limited to, updating plugins, themes.
We use Digital Ocean servers to provide our hosting service.
We provide a Service Level Agreement, which complements our hosting plan. This can be found in the legal section of our website.
Any issues must be reported directly to us and we aim to respond within 24 hours.
If you become aware of any of our proprietary hosting configurations you must not leak this information to the public.
If your contract is not renewed we maintain the right to disable your website.
We shall provide all relevant files if you wish to cancel your WordPress Hosting contract and move your site elsewhere.
If you have not renewed your site and we don’t hear from you within 30 days, we maintain the right to permanently delete your site. We will not store a copy. Your site will be gone forever.

WordPress Backups

We provide backup services for WordPress sites non-exclusively to our WordPress hosting but still subject to our Acceptable Use Policy and these Terms.

Backups are stored securely on our S3 bucket.
You must not disable, uninstall, or tamper with the BackWPUp plugin.
If you become aware of any of our proprietary backup configurations you must not leak this information to the public.
Backups will be taken every week on a weekday of our choice unless otherwise specified.
We store at most 5 backups unless agreed separately.
Backups can be provided to you if you wish to restore your site to a previous version. We will provide an estimate for this service.
If your site has been rendered inoperable we will restore your site to the most recent stable version of your site free of charge.
If your site has been rendered inoperable due to negligence on your part we may provide a separate estimate for the restore. We reserve the right to decide this.

WordPress Maintenance

We provide a WordPress Maintenance service. This service is not exclusive to our WordPress hosting plan. Some features may overlap.

This service includes:

Site caching
Automatic optimisation of site files
24/7 WordPress Security powered by iThemes security plugin
Automatic WordPress updates including WordPress core, plugins, and themes
Uptime monitoring
Performance monitoring

Site updates including, but not limited to, content, design, code

Restoration of an inoperable site

Netlify Hosting

When you have a Jamstack site built we choose to host it on Netlify. We have found that they provide a really great service and we support their mission. Hosting your site with us and Netlify is subject to our Acceptable Use Policy, these Terms, and Netlify’s Terms.

Netlify hosting is for one site only.
Your domain can be managed by anyone but you agree to update your nameservers accordingly.
If your Jamstack site uses any third-party APIs it is not our responsibility that they remain available at all times.
Your site is a collection of static files so will remain fast and secure.
On request, we can provide you with a webhook to trigger a build of your site.
Any issues must be reported directly to us and we aim to respond within 24 hours.
If your contract is not renewed we maintain the right to disable your website.
We shall provide all relevant files if you wish to cancel your Netlify Hosting contract and move your site elsewhere.
If you have not renewed your site and we don’t hear from you within 30 days, we maintain the right to permanently delete your site. We will not store a copy. Your site will be gone forever.

Domain Registration

Domains registered through Galexia Creative Agency Ltd are registered in Galexia Creative Agency’s name so that we can easily manage the domain name.

Due to Galexia Creative Agency Ltd being a registered company in England and Wales, some domains will not be available to register such as country specific domains.

Galexia Creative Agency Ltd reserves the right not to register or assign any domain name for whatever reason.

Galexia Creative Agency Ltd reserves the right to register a domain using any registrar of it’s choosing.

By registering a domain you agree to keep Galexia Creative Agency Ltd and its Directors fully and effectively indemnified at all times against action brought about by any person, persons or company against you in using the domain. You will assume liability and costs for any such action and release Galexia Creative Agency Ltd and its Directors should any such situation arise.

Galexia Creative Agency Ltd reserves the right to delete or suspend any domain name if payments have been defaulted upon and may at its discretion levy admin charges in re-establishing any domain or service thereof.

Galexia Creative Agency Ltd reserves the right to vary the rate charged for domain name registrations and renewals and/or modify the services offered.

If you wish to transfer a domain away you must provide at least 28 days notice. You must also notify us at least 60 days before the domain is due for renewal or you may still be charged for the renewal.

If you do not renew your domain before its expiry date, all services we provide relating to the domain will be suspended.

Email

Galexia Creative Agency Ltd provides up to 10 forwarding address for free with the purchase of any hosting plan. This service is provided by Forward Email and is subject to their terms and conditions. Galexia Creative Agency Ltd can set up any email address on your domain to forward to an email address of your choosing.

Galexia Creative Agency Ltd also provides an email service through Google Workspace which is subject to their terms and conditions. Galexia Creative Agency Ltd agrees to provide 1 set of user credentials to login to Google’s service for each subscription purchased. Galexia Creative Agency Ltd will impose security rules on these accounts such as enforced Two-Factor Authentication in order for accounts to remain secure. All support related problems must be directed to Google. Galexia Creative Agency Ltd is in no way accountable for Google’s service and only acts as an intermediary.

Approvals

In relation to the milestones set out in the project plan, you must sign-off each milestone in a timely manner. Just as you expect us to reach the milestone we expect you to sign-off on our work within 3 business days of being notified unless you can provide good reason such as sick leave or holiday.

If more than 3 days have passed since we sent you a milestone for approval or more than 2 weeks have passed since we have had any contact with you we will mark the project as dormant. If you wish to restart the project, we will provide you with a new estimate.

Changes and revisions

The price quoted to you is based on the number of hours that we estimate we’ll need to accomplish everything you’ve told us you want to achieve. As each milestone is being worked on, changes and revisions should be communicated quickly and directly so that fixes are happening on an ongoing basis. We want things to be right, but please don’t make hundreds of revisions, we both want the project to finish on time. Try and go through a design, or website, and make a list of changes you would like, which will form only one email and only one revision. When a milestone has been completed by us, feedback from you cannot take more than 3 business days or the milestone is considered to be satisfactorily complete. If you want to add anything new to a previously agreed-upon milestone, we allow up to two additional hours for free. Any further revisions will result in a separate estimate.

Deadlines

We cannot be held accountable for any missed deadlines if you have been late on supplying content or materials or have not signed-off work on time at any stage in the process.

Payment schedule

We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the following payment schedule.

At the beginning of a project, once we have agreed on a project plan, we will send you an invoice for 50% of this amount. An invoice for the remaining 50% will be sent after the completion of the project or after 12 months, whichever comes sooner.

For hosting and monthly/yearly packages an invoice will be raised at the beginning of the period which covers that period. Subsequent invoices will be raised for each following period.

We issue invoices electronically.

Our payment terms are 30 days from the date of invoice by bank transfer only.

The appropriate bank account details will be printed on our electronic invoice.

If an invoice becomes overdue and we have not heard from you within 14 days, Galexia reserves the right to suspend any services pertaining to the invoice including but not limited to websites, domains, and email accounts. If we still have not heard from you within 30 days of the invoice due date, services may be permanently deleted.

Intellectual property rights

“Intellectual property rights” means all patents, rights to inventions, copyright (including rights in software) and related rights, trademarks, service marks, get up and trade names, internet domain names, rights to goodwill or to sue for passing off, rights in designs, database rights, rights in confidential information (including know-how) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or shall subsist now or in the future in any part of the world.

You guarantee that all elements of text, images, or other artwork on your site, regardless of which party generated them, are either owned by you or you have permission to use them. You agree to protect us from any claim by a third party that we’re using their intellectual property.

We retain all intellectual property rights as follows: We’ll own the website we design and/or develop for you plus the visual elements that we create for it. We’ll own any intellectual property rights we’ve developed prior to, or developed separately from this project and not paid for by you. We’ll own the unique combination of these elements that constitutes a complete design or website and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise. If we are not hosting your site we agree to give you source files and finished files for hosting on a platform of your choosing.

Footer credit

Your site will credit us by displaying “Website by Galexia Creative Agency Ltd” in an unobtrusive manner.

If you wish to own the site outright and remove the footer credit, you will be required to pay 1.5x the agreed-upon amount. Thereafter you will retain all intellectual property rights as follows: You’ll own the website we design and/or develop for you plus the visual elements that we create for it. We will give you source files and finished files. We are not required to keep a copy so store them somewhere safe. We will still own any intellectual property rights we’ve developed prior to, or developed separately from this project and not paid for by you.

Displaying our work

We love to show off our work, so we reserve the right, regardless of who owns the intellectual property, to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, in magazine articles, and in books.

Termination

If you are in breach of these Terms or any other policies, terms, or agreements Galexia Creative Agency Ltd has in place from time to time, Galexia Creative Agency Ltd may, immediately and at our option (a) terminate your access to the Services and/or (b) suspend your access to the Services. In either of these instances, you are not permitted to access the Services without our prior written permission.

The Services and these Terms may be terminated by either party for convenience by giving the other party thirty (30) days prior written notice.

If these Terms are terminated we will retain any previous payments you have made and you may be required to make additional payments to cover the Services till the given cancellation date.

Upon any termination, expiration, discontinuance, or suspension of these Terms or the Services, any provision that, in order to give proper effect to its intent, should survive the termination, expiration, discontinuance, or suspension of these Terms or the Services, will survive such termination, expiration, discontinuance, or suspension of these Terms or the Services.

Disclaimer of Warranties

Except as otherwise set forth in these terms, all services are provided “As is” and “As available” and Galexia Creative Agency Ltd hereby disclaims all warranties, whether express, implied, statutory or other, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and all warranties arising from course of dealing, usage, or trade practice. Without limiting the foregoing, Galexia Creative Agency Ltd makes no warranty of any kind that the services, or any products or results of the use thereof, will meet client’s or any other person’s requirements, operate without interruption, achieve any intended result, be compatible or work with any software, system or other services, or be secure, accurate, complete, free of harmful code, or error free.

Limitation of Liability

Your liability to us will also be limited to the amount of fees payable under these Terms and Conditions and you won’t be liable to us or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if we’ve advised you of them.

In no event will Galexia Creative Agency Ltd’s total liability arising out of or in connection with these terms or from the use of or inability to use the services exceed (a) the aggregate amount of fees paid or owed by you to Galexia Creative Agency Ltd during the six (6) months immediately preceding the claim, or (b) one hundred pounds (£100.00) if you have not had any payment obligations to Galexia Creative Agency Ltd, as applicable.

Indemnity

You agree to defend, indemnify, and hold harmless Galexia Creative Agency Ltd (and each of our owners, officers, directors, employees, agents, contractors, licensors, and affiliates) (collectively the “Galexia Creative Agency Ltd Indemnitees“) from and against any and all losses, costs, expenses, damages, injuries, and/or liability of any kind, including attorney’s fees, that a Galexia Creative Agency Ltd Indemnitee may incur or suffer as a result of any claims, suits, proceedings, or investigations asserted or commenced by any third party, which arise out of or are in any way connected with (a) your access or use of, or conduct in connection with, our Services; (b) Client Content, Client Websites, or Submissions; (c) your breach or alleged breach of these Terms; or (d) your violation of any law or the rights of another.

We reserve the right, in our sole discretion, to control any action or proceeding, including selection of counsel, and determine whether we wish to settle it, and if so, on what terms, in which event you will cooperate with us in asserting any available defenses.

Dispute Resolution

We want to address your concerns without resorting to a formal legal case. Before filing a formal legal claim against Galexia Creative Agency Ltd, please contact us at info@galexia.agency. We’ll try to resolve the dispute and address your concerns. If a dispute is not resolved within 15 days after submission, you or Galexia Creative Agency Ltd may bring a formal proceeding.

Miscellaneous

You may not assign any of your rights or obligations under these Terms without prior written consent from Galexia Creative Agency Ltd. Galexia Creative Agency Ltd may assign any or all of its rights under these Terms, in whole or in part, without obtaining your consent or approval.

Our failure or delay in exercising any right, power, or privilege under these Terms shall not operate as a waiver thereof.

The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
